Booking Service for Rental Equipment and School Services Provided by Ski Resorts: Terms of Use
Tokyu Resorts & Stays Co., Ltd. (hereinafter referred to as “the Company”) has established the following Terms of Use (hereinafter referred to as “the TOU”) regarding the use of the online booking service for Rental Equipment and School Services provided by ski resorts that the Company manages and operates.
Article 1 (Definitions)
The following terms shall be used in the TOU with the meanings as defined below.
- 1. “The Booking Service” shall mean the website operated by the Company on the Internet that provides a booking service for the Rental Equipment and School Services provided by ski resorts.
- 2. “Rental Equipment and School Services” shall mean the rental services for ski and snowboard equipment, or ski and snowboard instruction services, provided at the ski resorts operated by the Company and offered through the Booking Service.
- 3. “User” shall mean a customer who accesses the Booking Service, makes bookings for Rental Equipment and School Services, and is provided with such Rental Equipment and School Services.
- 4. “Member” shall mean a user who has registered in advance with the Tokyu Resorts & Stays SMART CLUB to use the Booking Service and whose registration has been approved by the Company. The method of registration for members and other details shall be specified separately in the Tokyu Resorts & Stays SMART CLUB Terms and Conditions.
Article 2 (Scope and Changes to the TOU)
- 1. The TOU shall apply to all users of the Booking Service.
- 2. In addition to the TOU, the Company may establish separate terms and conditions, agreements, usage guidelines, etc. for Rental Equipment and School Services on an individual basis (hereinafter referred to collectively as “Individual Terms”) and the Tokyu Resorts & Stays SMART CLUB Terms and Conditions. These Individual Terms shall constitute a part of the TOU.
- 3. The Company may amend the TOU without the prior consent of users in any of the following cases. In such cases, the Company shall notify members by posting the amended terms and their effective date on the Company’s website or other means.
- (1) In cases where changes to the TOU are in the general interest of members
- (2) In cases where changes to the TOU do not conflict with the purposes of the contract and are reasonable considering the necessity of the changes, the appropriateness of the revised terms, the nature of the changes, and other pertinent circumstances
- 4. The Company may terminate the TOU without prior notice to members or without obtaining their prior consent.
Article 3 (Handling of Member Data, etc.)
The Company shall utilize member data and information obtained from users in the course of their use of Rental Equipment and School Services on a joint basis with Tokyu Fudosan Holdings Corporation and companies in the Tokyu Fudosan Holdings Corporation Group (consolidated subsidiaries, etc., as listed in Tokyu Fudosan Holdings Corporation’s securities reports). The handling of this information shall comply with the Company’s Privacy Policy, its basic policy regarding the handling of personal information and other data.
Article 4 (Usage Environment for the Booking Service)
- 1. To use the Booking Service, users must access the Booking Service website on the Internet.
- 2. Users must have, at their own liability and expense, the necessary equipment, software, communication means, and other resources required to access the Booking Service, and must ensure that they install and operate these in an appropriate manner.
- 3. The Company shall not be involved in any manner with the arrangements, methods, or other preparations required for users to access the website of the Booking Service.
Article 5 (SMART CLUB Membership Registration)
The Booking Service shall only be made available to members who have completed registration for membership of the Tokyu Resorts & Stays SMART CLUB.
Article 6 (Prohibited Acts and User Responsibilities)
- 1. Users are prohibited from engaging in the following acts when using Rental Equipment and School Services.
- (1) Acts which infringe upon or may infringe upon the intellectual property rights, including but not limited to copyrights and trademark rights, or other rights of the Company or third parties
- (2) Acts which infringe upon or may infringe upon the property, privacy, portrait rights, or publicity rights of the Company or third parties
- (3) In addition to the above (1) and (2), any act which causes or may cause any disadvantage or damage to other users, third parties, or the Company
- (4) Acts which contravene or may contravene public order and standards of decency
- (5) Criminal acts, or acts which lead to or may lead to criminal acts
- (6) Acts for commercial purposes, or acts preparatory to such acts, conducted through or in connection with the Booking Service without the consent of the Company
- (7) Acts of making fraudulent applications or inducing a third party to do so
- (8) Acts of registering as a user using false information or impersonating another person
- (9) Acts of using or providing harmful computer programs, such as computer viruses, through or in connection with the Booking Service
- (10) Acts which violate or may violate laws and regulations
- (11) Any other act which the Company deems inappropriate
- 2. In the event that the Company becomes aware of or detects that a user has engaged in any of the acts described in the preceding paragraph, the Company may, at its discretion, take measures against the user from the perspective of ensuring the stable provision of services and protecting the system, including blocking the user’s access to the Booking Service.
- 3. The Company shall not be held liable for any damages incurred by users as a result of the measures described in the preceding paragraph. However, this shall not apply in cases where the Company blocked access or took other measures erroneously as a result of willful misconduct or gross negligence.
- 4. In the event that the Company suffers damages due to a user’s breach of the TOU or other fraudulent or illegal acts, the Company may seek compensation for damages from the user in question.
- 5. Users shall comply with the procedures and security measures specified by the Company or the service provider when submitting their application information for the use of Rental Equipment and School Services. The Company shall not be held liable for any consequences arising from failure to comply with these procedures and security measures. However, this shall not apply in cases of willful misconduct or gross negligence on the part of the Company.
- 6. The Company shall bear no responsibility whatsoever for any disputes arising between users and third parties, or for damages caused by users to third parties. In the event of a dispute with a third party and such damages, users shall resolve such matters at their own responsibility and expense. However, this shall not apply in cases of willful misconduct or gross negligence on the part of the Company.
Article 7 (Method of Notification to Users)
- 1. The Company shall provide notifications to users by posting notices on the Booking Service, or by email or other methods deemed appropriate by the Company, unless otherwise specified in Individual Terms or similar agreements.
- 2. In the event that the Company sends the notifications described in the preceding paragraph via email, the Company shall deem that users have successfully received such notifications when the email is delivered to the email address registered by the user, even if the email fails to deliver for any reason. Note that the Company shall bear no responsibility whatsoever for any damages incurred by the user as a result of emails not being received. However, this shall not apply in cases of willful misconduct or gross negligence on the part of the Company.
Article 8 (Use of the Booking Service, Payment Methods, etc.)
- 1. When using the Booking Service, users shall pay the usage fees for Rental Equipment and School Services in accordance with the provisions set forth in the following items.
- (1) If the user books Rental Equipment and School Services using the Booking Service and pays at the time of booking (hereinafter referred to as “advance payment”), payment shall be made by credit card or another payment method specified by the Company
- (2) If the user books Rental Equipment and School Services using the Booking Service and pays later at the reception desk of the facility in question (hereinafter referred to as “on-site payment”), payment shall be made by cash, credit card, or another payment method designated by the Company
- 2. The usage agreement for Rental Equipment and School Services provided through the Booking Service shall be established either when the Company displays completion of the usage procedure on the Booking Service screen in response to the user’s completed operation for reservation, etc. on the Booking Service, or when the response confirming completion of the usage procedure is received via email at the member’s registered email address, whichever occurs first.
- 3. In order to use Rental Equipment and School Services booked through the Booking Service, users must present the QR code or reservation number they received at the time of booking.
- 4. When using rental equipment services, users are requested to present identification confirming their name and address, such as a driver’s license, health insurance card, or student ID. Identification is not necessary in the case of advance payment by credit card.
- 5. If rental equipment is damaged or lost, users shall be required to pay compensation equal to the amount obtained by subtracting the depreciated value from the specified amount as determined separately.
- 6. Rental equipment must be returned to the rental counter during business hours. Failure to return equipment to the rental counter (for instance, leaving it elsewhere within the ski resort premises) shall result in the same consequences as described in the preceding section.
Article 9 (Payment by Credit Card)
- 1. Concerning payment by credit card, in the event that each rental or school service separately specifies the credit cards that can be used, that stipulation shall take precedence.
- 2. Only credit cards issued in the name of the user may be used to make payment by credit card. If the person making the application is not the same as the person who will actually use the service, then the credit card must be in the name of the person making the application.
- 3. Users must not use another person’s credit card, enter false credit card details, or engage in any other behavior that the Company deems inappropriate. The Company reserves the right to seek compensation from users for any damages incurred as a result of such conduct.
- 4. Regarding credit cards used or selected by users for payment, the Company may change the payment method, cancel the application, or take other measures it deems necessary without obtaining the consent of the user if the credit card issuer refuses to honor the credit card for any reason or if the Company determines that the use of the credit card is inappropriate based on its criteria. In such cases, the Company shall not be liable for any damages incurred by the user.
Article 10 (Cancellations)
Users who cancel a booking made through the Booking Service for Rental Equipment and School Services shall pay cancellation fees and refund processing fees in accordance with the applicable cancellation policy for that booking. For details of the cancellation policy, please refer to the terms and conditions provided at the time of booking. It is the responsibility of users to confirm these terms and conditions prior to finalizing their booking.
Article 11 (Suspension, Discontinuation, Modification, and Termination of Services)
- 1. The Company reserves the right to modify or terminate the content of Rental Equipment and School Services without prior notice to users.
- 2. In the event any of the following circumstances apply, the Company may suspend or discontinue Rental Equipment and School Services in part or in full, or restrict access thereto, without prior notice to users.
- (1) If it is necessary to perform regular or emergency maintenance, inspections, or updates on the equipment and systems used to provide Rental Equipment and School Services
- (2) If it is difficult to provide Rental Equipment and School Services a result of force majeure, such as a fire, power outage, epidemic, natural disasters including earthquakes, floods, and typhoons, war, riots, or labor disputes
- (3) If telecommunications service providers fail to provide their services
- (4) If the Company deems it necessary to temporarily suspend or discontinue Rental Equipment and School Services for operational or technical reasons, or if the Company otherwise judges that it would have difficulty providing such services
- (5) If the Company determines that modification, suspension, or restriction of members’ access to the Booking Service is necessary for the operation of the Booking Service in any other way
- 3. The Company shall not be held liable for any disadvantage or damage incurred by users or third parties as a result of the measures set forth in the preceding two items. However, this shall not apply in cases of willful misconduct or gross negligence on the part of the Company.
Article 12 (Copyright, Trademark Rights, etc.)
All rights (including ownership rights, intellectual property rights, portrait rights, publicity rights, etc.) to the text, images, programs, and other data, etc. (excluding comments from users) that constitute the Booking Service belong to the Company or the third party that owns said rights. Users may not reproduce, copy, reprint, transmit, store, sell, publish, or otherwise use such content in any manner or form beyond the scope of their own personal use without the Company’s permission.
Article 13 (Exclusion of Anti-Social Forces)
- 1. Users shall warrant that they have not been associated with, are not associated with, and will not be associated with antisocial forces (in this case, taken to mean organized crime groups, their members, individuals who have ceased to be members within the past five years, quasi-members of organized crime groups, companies associated with organized crime groups, corporate racketeers, racketeering organizations disguising as social activists or crime groups specialized in intellectual crimes, and other similar entities), and shall refrain from engaging in any acts that violate laws and regulations or pose a risk of such violation, such as acts of violence, fraud, intimidation, or obstruction of business.
- 2. In the event that a user violates the provisions set forth in the preceding paragraph, the Company reserves the right to suspend the user’s use of the Booking Service or take other measures, such as deleting the user’s membership registration, without prior notice. In such cases, the Company shall not be held liable for any disadvantage or damage incurred by the user as a result.
Article 14 (Governing Law)
The TOU shall be governed in accordance with the laws of Japan. Any dispute arising between the user and the Company concerning the TOU or the use of Rental Equipment and School Services shall be submitted to the Tokyo District Court or the Tokyo Summary Court as the court of first instance with agreed exclusive jurisdiction.
